Fairfax India Holdings Corporation has acquired an additional 11.22% stake in IIFL Capital Services for ₹2,000 crore, increasing its direct shareholding to approximately 38.04%. The investment was completed through a preferential allotment of 5.71 crore equity shares to Fairfax’s wholly owned subsidiary, FIH Mauritius Investments Ltd, at ₹350 per share on November 4, 2026.

The transaction is part of Fairfax’s broader plan to increase its ownership in IIFL Capital to at least 51%, potentially making it the company’s controlling shareholder. The latest allotment strengthens Fairfax’s position ahead of an open offer to public shareholders and a possible additional purchase from existing promoters. However, the newly allotted shares will remain in escrow without voting rights until the open offer is completed, in accordance with securities regulations.

Fairfax Completes ₹2,000 Crore Share Allotment

IIFL Capital allotted 57,142,857 equity shares to FIH Mauritius Investments Ltd at ₹350 apiece, aggregating to ₹2,000 crore. The allotment increased Fairfax India’s direct stake from 26.82% to 38.04%.

The investment was made through a preferential issue, under which a company issues shares to selected investors rather than offering them to the general public.

The Competition Commission of India had cleared Fairfax India’s proposal to acquire an additional stake in IIFL Capital in September 2026, forming part of the regulatory process for the larger transaction.

Fairfax Targets at Least 51% Ownership

The latest investment is one stage of a broader transaction announced earlier in 2026.

Fairfax India, through FIH Mauritius Investments, has agreed to acquire additional shares through an open offer to IIFL Capital’s public shareholders. The offer is intended to cover up to 26% of the company’s share capital, subject to applicable regulations.

The investment agreement also includes an arrangement with IIFL Capital’s existing promoters. If the shares tendered by public shareholders are insufficient to take Fairfax and its affiliate to the targeted 51% ownership level, the existing promoters have agreed to sell additional shares to help Fairfax reach that threshold.

According to Fairfax India’s November 4 announcement, the combined shareholding of Fairfax India and its affiliate, HWIC Asia Fund (Class A Shares), stood at 40.8% after the preferential allotment. This comprised 38% held by Fairfax India and 2.8% held by HWIC Asia Fund.

The distinction matters because the 51% target is based on the combined holding of Fairfax and its affiliate, rather than Fairfax India’s direct shareholding alone.
