Adani Energy Solutions (AESL) has acquired 100% of Vizag Power Transmission Ltd (VPTL) from REC Power Development and Consultancy Ltd (RECPDCL), strengthening its position in Andhra Pradesh’s emerging power-transmission infrastructure market. The acquisition follows AESL’s successful bid for an inter-state transmission project worth approximately ₹8,500 crore in the Vizag region.

The transmission system is being developed to support proposed green hydrogen and green ammonia projects around Visakhapatnam, with an estimated power demand of around 4,500 MW. The infrastructure is also expected to support rising electricity requirements from data centres and other digital infrastructure being developed in the Pendurthi-Vizag region. AESL said the acquisition was completed through a cash transaction and did not require government or regulatory approvals.

Adani Energy Solutions Acquires 100% of Vizag Power Transmission

AESL executed a Share Purchase Agreement with RECPDCL to acquire all equity shares of Vizag Power Transmission.

VPTL is the special purpose vehicle created for implementing the Andhra Pradesh transmission project that AESL won in July.

The acquisition gives AESL direct ownership of the project vehicle and allows it to proceed with the development of the transmission infrastructure.

The acquisition is therefore closely linked to AESL’s recently awarded transmission project rather than being a standalone purchase of an operating power company.

The Acquisition Follows an ₹8,500 Crore Project Win

AESL won the Andhra Pradesh transmission project on July 24, 2026, through the government’s Tariff-Based Competitive Bidding framework.

The company emerged as the most competitive bidder for the project titled “Transmission System for Proposed Green Hydrogen / Green Ammonia Projects in Vizag Area, Andhra Pradesh (Phase-I).”

The project has an estimated value of around ₹8,500 crore.

What Is Vizag Power Transmission?

Vizag Power Transmission is a special purpose vehicle created specifically for the transmission project.

The company was incorporated in India on February 16, 2026, and is registered with the Registrar of Companies in New Delhi.

Its authorised share capital is ₹5 lakh, while its paid-up share capital is ₹5 lakh.

Because VPTL was incorporated only in February 2026, it does not have an operating revenue history comparable with an established power-transmission company.

The Real Value Lies in the Transmission Project

The acquisition itself is relatively small in corporate-transaction terms because VPTL is a newly incorporated project vehicle with ₹5 lakh of paid-up capital.

The strategic significance comes from the approximately ₹8,500 crore transmission project housed within the SPV.

The distinction is important: AESL is acquiring the SPV to execute a large infrastructure project, rather than buying a mature operating utility with an established revenue base.

Project Will Support 4,500 MW of Demand

The transmission system is designed to cater to estimated power demand of around 4,500 MW in the Vizag area.

A major source of this demand is expected to come from proposed green hydrogen and green ammonia projects.

The infrastructure will also support growing electricity requirements from data centres and digital infrastructure in the region.

Transmission Infrastructure Planned Under the Project

The project involves substantial high-voltage transmission infrastructure.

Its scope includes the development of:

  • A 4×1,500 MVA, 765/400 kV GIS substation at Pendurthi in Vizag
  • A 3×1,500 MVA, 765/400 kV substation at Khammam-II
  • 1,582 circuit kilometres of transmission lines
  • 10,500 MVA of additional transformation capacity

AESL’s Transmission Network Will Expand

Once the project is completed, AESL’s transmission portfolio will increase to 29,531 circuit kilometres.

Its total transformation capacity will reach 1,33,675 MVA.
