BSE Limited, the operator of India’s oldest stock exchange, reported a 45% year-on-year increase in consolidated net profit to approximately ₹809 crore for the second quarter of FY27. The exchange benefited from higher transaction charges and expanding activity in its equity derivatives business, which supported revenue growth during the September quarter.

Revenue from operations increased 34.1% to ₹1,432.6 crore, compared with ₹1,068.4 crore in the corresponding quarter of the previous financial year. The results reflect BSE’s growing market share in equity derivatives, the introduction of additional index contracts and increased participation from brokers and foreign investors. However, trading activity faced pressure from regulatory changes introduced during the quarter.

BSE Q2 FY27 Financial Results

BSE reported growth across its major financial performance indicators during July-September 2026.

Consolidated net profit increased to ₹809.15 crore from ₹558.43 crore in Q2 FY26, representing growth of approximately 44.9%.

Revenue from operations rose to ₹1,432.6 crore, while EBITDA increased 42.4% to ₹984 crore.

The company’s EBITDA margin also improved, indicating that operating earnings grew faster than operating expenses.

Transaction charges₹1,127.8 crore₹794 crore42%

The numbers demonstrate that transaction-related income remains the primary contributor to BSE’s operating performance.

Transaction Charges Drive Revenue Growth

Transaction charges were a major contributor to BSE’s financial performance during the quarter.

Revenue from transaction charges increased 42% year-on-year to ₹1,127.8 crore, compared with ₹794 crore in Q2 FY26.

These charges are generated when investors and traders execute transactions through the exchange’s trading platforms.

The increase reflects higher trading activity and BSE’s expanding position in the equity derivatives market.

The exchange has benefited from the introduction of additional index derivatives contracts, which have helped attract traders and brokers to its platform.

Growing participation from foreign investors has also supported trading activity.

The performance highlights the importance of derivatives trading to BSE’s revenue model, although this also makes its financial results sensitive to changes in market activity and regulatory policies.

Equity Derivatives Become an Important Growth Engine

BSE has been expanding its presence in equity derivatives, particularly through its index options and futures offerings.

The exchange has gained market share against its larger competitor, the National Stock Exchange of India (NSE), in a segment that generates significant transaction revenue.

The launch of additional index derivatives contracts has helped BSE attract new participants and increase trading volumes.

According to Reuters, average daily derivatives turnover measured by premiums paid increased approximately 50% year-on-year during the September quarter.

However, the same measure declined 24% compared with the preceding quarter, indicating that trading activity moderated sequentially.

This distinction is important because strong annual growth does not necessarily mean that the business is expanding at the same pace every quarter.

BSE’s ability to maintain its derivatives market share will remain an important factor influencing future revenue and profitability.

Regulatory Changes Affect Trading Activity

Despite strong annual growth, BSE’s September-quarter performance faced challenges from regulatory changes.

The Securities and Exchange Board of India (SEBI) introduced a closing auction session (CAS) in August 2026 to align India’s market closing mechanism more closely with international practices.

The closing auction session is a short trading window designed to establish the final prices of securities at the end of the trading day.

However, the introduction of the mechanism created concerns among intraday equity and options traders because of increased end-of-day price volatility.

Some traders reduced their activity, particularly in derivatives, while adapting to the new system.

The impact was significant enough for SEBI to partially reverse the measure in October 2026.

The regulatory changes illustrate how adjustments to market structure can influence trading behaviour and, in turn, affect the revenue of stock exchanges.

Operating Expenses Increase 21%

BSE’s operating expenses also increased during the quarter, although at a slower pace than revenue.

Total operating expenses rose 21% year-on-year to ₹494.7 crore from ₹410.1 crore in Q2 FY26.

The slower growth in expenses compared with revenue helped the exchange improve its EBITDA margin.

The margin increased to 68.7% from 64.66% in the year-ago quarter.

This indicates that BSE generated more operating earnings for every rupee of revenue compared with the corresponding period last year.

Treasury income from clearing and settlement funds, however, declined 14% to ₹36.5 crore from ₹42.8 crore.

The decline was offset by stronger transaction-related income.

BSE’s Standalone Financial Performance

The exchange also reported growth in its standalone financial results.

Standalone net profit after tax increased 50.3% year-on-year to ₹773.4 crore in Q2 FY27, compared with ₹514.5 crore in the corresponding quarter of the previous year.

Standalone revenue from operations rose 38.3% to ₹1,349.3 crore from ₹975.5 crore.

The difference between standalone and consolidated figures reflects the inclusion of subsidiary operations and other consolidation adjustments in the group financial statements.

For evaluating the overall performance of the BSE group, consolidated results provide a broader picture of its financial position.

BSE Board Approves Executive Appointment and Mumbai Property Proposal

Alongside its financial results, the BSE board approved the appointment of Ashutosh Singh as Executive Director – Business (Vertical 3).

His appointment will be for five years, effective November 30, 2026, subject to shareholder approval.

The board also approved a proposal to accept an offer from the Mumbai Metropolitan Region Development Authority (MMRDA) for the allotment of a plot at Bandra Kurla Complex (BKC), Mumbai.

BSE plans to use the proposed property to develop additional premises and infrastructure facilities.

The transaction remains subject to the completion of required documentation, applicable conditions and definitive agreements with MMRDA.

The proposed development could support the exchange’s infrastructure requirements as its business and operations expand.

The Bigger Picture

BSE’s Q2 FY27 results highlight the growing importance of its equity derivatives business and its efforts to compete more effectively with NSE.

The 45% increase in net profit and 34% growth in revenue demonstrate the financial benefits of higher trading activity and expanding market share.

However, the quarter also shows the sensitivity of exchange revenues to regulatory changes. The introduction of the closing auction session affected trading behaviour, while the subsequent partial reversal highlights the influence of market structure on trading volumes.

For BSE, maintaining growth will depend on attracting more participants, expanding its derivatives offerings and diversifying revenue beyond transaction charges.

Looking Ahead

BSE’s next financial performance will depend on whether trading activity stabilises following the regulatory changes introduced during 2026. Investors will also monitor its ability to retain derivatives market share, introduce new contracts and maintain operating margins as competition with NSE continues. The exchange’s management commentary and subsequent quarterly results will provide further indications of these trends.

Over the longer term, BSE’s growth opportunity will depend on the expansion of India’s capital markets and increasing participation from retail investors, institutions and foreign investors. While derivatives have become an important source of revenue, maintaining a balanced business across trading, listing services, mutual fund platforms and other financial infrastructure offerings could help the exchange build a more diversified earnings base.
